Terms of Service

These Terms of Service ("Terms") govern your access to and use of VeriLend (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. What VeriLend Is

VeriLend is a document-management and loan-support platform. It provides checklists, secure document uploads, automated document-quality checks, credit tools, and messaging between borrowers and lenders.

VeriLend is not a lender, a mortgage broker, a credit-repair organization, or a financial, legal, or tax advisor. VeriLend does not originate loans, does not extend credit, and does not guarantee that any application will be approved. All lending decisions are made solely by the lender.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

3. Accounts and Roles

Accounts are created as "borrower" by default. Access to the "lender" role is granted only through an invitation code issued by a VeriLend administrator. You are responsible for keeping your credentials confidential and for all activity under your account.

4. User Responsibilities

  • Provide accurate, current, and complete information.
  • Only upload documents you have the right to share.
  • Use the Service in compliance with all applicable laws.
  • Keep your account credentials and multi-factor codes secure.

5. Prohibited Activities

  • Fraud, misrepresentation, or impersonation of another person or entity.
  • Uploading forged, altered, or knowingly inaccurate documents.
  • Accessing or attempting to access accounts, data, or areas you are not authorized to use.
  • Interfering with, probing, or attempting to compromise the Service.
  • Using the Service to violate any law or third-party right.

6. Financial Disclaimers

Loan approvals, interest rates, terms, credit decisions, and any financial outcome are determined solely by the lender or third-party financial institution. VeriLend makes no representation or warranty regarding approval likelihood, pricing, or performance of any loan. Credit scores displayed in the Service are estimates provided for informational purposes only and may differ from scores used by lenders.

7. Third-Party Services

The Service may integrate with third-party providers (e.g., authentication, credit, document-analysis, and infrastructure vendors). Your use of those services is subject to their own terms and privacy policies.

8. Intellectual Property

VeriLend and its licensors own all right, title, and interest in the Service. You retain ownership of documents and content you upload; you grant VeriLend a limited, worldwide license to host, process, and display that content solely to provide the Service to you and the lender you select.

9. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms or that create legal or security risk. Sections of these Terms that by their nature should survive termination will survive.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERILEND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR USD $100 IF YOU HAVE NOT PAID US ANY AMOUNT.

12. Indemnification

You agree to indemnify and hold VeriLend harmless from any claim, loss, or expense arising out of your use of the Service, your content, or your violation of these Terms.

13. Arbitration and Class-Action Waiver

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by a nationally recognized arbitration provider under its consumer rules. You and VeriLend each waive the right to a jury trial and the right to participate in a class action. You may opt out of this arbitration agreement by emailing legal@verilend.app within 30 days of first accepting these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except where preempted by applicable federal law or the mandatory consumer-protection laws of your jurisdiction.

15. Changes

We may update these Terms. Material changes will be announced in-app or by email. Continued use after the effective date constitutes acceptance.
